Welcome to Spark Literacy Innovations Group Inc. ("Spark Literacy Innovations," "we," "us," or "our"). By accessing or using our website slinnovations.com (the "Site"), you agree to be bound by these Terms and Conditions (the "Terms"). Please read them carefully. If you do not agree, you must not use the Site.

These Terms apply to your use of the Site. Your purchase and use of our Structured Steps to Writing (SSW) materials are governed separately by our Licence Terms of Use.

1. Acceptance of terms

By using the Site, you affirm that you are at least 18 years old, or that you have the consent of a parent or guardian. If you use the Site on behalf of a school, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

2. Changes to these terms

We may modify these Terms at any time. We will post the revised Terms on this page and update the effective date. Your continued use of the Site after changes take effect is your acceptance of the revised Terms. If you do not agree to a change, stop using the Site.

3. Accounts

Some features require an account. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Notify us promptly at hello@slinnovations.com if you suspect unauthorized use. We may suspend or close an account that we reasonably believe has been used in breach of these Terms.

All content on the Site, including text, graphics, logos, images, and software, is the property of Spark Literacy Innovations Group Inc. or its licensors and is protected by copyright, trademark, and other laws. "Structured Steps to Writing," "SSW," "SPARK + SORT," "STEMS," "CAMPS," and the Spark Literacy Innovations name and logo are our marks. You may not reproduce, distribute, modify, publicly display, or create derivative works from any Site content without our express written permission.

6. Feedback

If you send us ideas, suggestions, or feedback about the Site or our materials, you grant us a perpetual, royalty-free, worldwide licence to use them for any purpose without obligation or compensation to you. We appreciate your input, and this clause simply lets us act on it freely.

7. Pricing and purchases

All prices on the Site and charged at checkout are in US dollars (USD) unless stated otherwise. Purchases are processed through our third-party checkout provider. If your payment card is issued outside the United States, your bank or card provider may apply a currency conversion, and the final amount in your local currency is set by them, not by us.

We may change prices at any time, though changes will not affect orders already completed. We may refuse or cancel an order if we suspect fraud, an error in pricing or description, or a breach of these Terms.

8. Refunds

Purchases are subject to our Refund Policy, which is incorporated into these Terms by reference. In summary, and because SSW products are digital and delivered on purchase, all sales are final and non-refundable once a file has been delivered or accessed. If you believe there is a genuine error with your purchase (a technical issue that prevented access, a product materially different from its description, or a duplicate charge), contact us at hello@slinnovations.com within 14 days and we will work with you to find a fair resolution. The Refund Policy governs if there is any conflict with this summary.

9. Third-party links and services

The Site may link to or rely on third-party websites and services, including our checkout and file-delivery providers. We do not control those services and are not responsible for their content, availability, security, or practices. Your use of a third-party service is governed by that party's terms and privacy policy.

10. Educational content and no professional advice

Our materials and Site content are for general educational purposes. SSW is a structured writing and composition program. It is not medical, psychological, diagnostic, or clinical advice, and it is not a substitute for assessment or treatment by a qualified professional. You are responsible for deciding whether the materials suit a particular student. We do not guarantee any particular learning result, score, or outcome. Student progress depends on many factors outside our control, including how the materials are used.

11. Privacy

Your use of the Site is subject to our Privacy Policy. We do not collect, store, or process student data through the Site or our materials. Information you provide (such as your name and email at purchase or sign-up) is handled as described in the Privacy Policy.

12. Disclaimer of warranties

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Spark Literacy Innovations Group Inc., and its directors, officers, and contractors, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising from or related to your use of the Site or its content, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for all claims arising from or related to the Site or these Terms will not exceed the greater of (a) the total amount you paid us in the 12 months before the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Spark Literacy Innovations Group Inc. and its directors, officers, and contractors from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.

15. Termination

We may suspend or end your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

If you believe content on the Site infringes your copyright, contact us at hello@slinnovations.com with a description of the work, the location of the material on the Site, your contact information, and a statement of your good-faith belief that the use is not authorized.

17. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles.

Before starting any formal proceeding, you agree to first contact us at hello@slinnovations.com so we can try to resolve the matter informally. If we cannot, any dispute will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada, and you consent to that jurisdiction.

Any claim must be brought within one year after it arises, or it is permanently barred, to the extent this limit is allowed by law.

18. General

These Terms, together with the Licence Terms of Use, Refund Policy, and Privacy Policy, are the entire agreement between you and us regarding the Site. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them, including to a successor or in connection with a sale of the business. We are not liable for any delay or failure caused by events beyond our reasonable control. Section headings are for convenience only.
